Private Limited
Company


A Private Limited Company is a type in which shareholders have limited liability and are not personally liable for a debt or other business liabilities of the Company. It requires a minimum of two shareholders/members to form a private limited company, while the maximum number is restricted to 50. Every private limited Company in Pakistan is also required to file an annual statutory form with the SECP.

Single Member Company (SMC)


Single Member Company or SMC-Private Limited Company is a private company category that can be registered with the Securities and Commission of Pakistan (SECP) with one shareholder having limited liability. Single Members Company in Pakistan must also file annual statutory forms with the SECP.

Limited Liability Partnership (LLP)


A Limited Liability Partnership (LLP) is a form of business having the status of a legal entity separate from its partners and has perpetual succession. Any two or more persons associated with carrying on a lawful business with a view to profit may form an LLP after registration with the Commission as per the Limited Liability Partnership Act, 2017 and the Limited Liability Partnership Regulations, 2018.

Public Unlisted
Company


Public Limited Company requires a minimum of three persons to form a company with SECP while there is no restriction on a maximum number of members/shareholders. Every public Company in Pakistan is also required to hold a statutory meeting and file statutory reports with the SECP annually.

Steps to Register a Private Limited Company in Pakistan

STEP 1: Obtain Name availability from the respective CRO

To obtain confirmation from the SECP that a proposed name is available to register. Three proposed names are required to be submitted to the concerned registrar. Registrar confirms the name availability through email/written letter. Once available, a name shall remain booked for 60 days, an adequate time frame for the incorporation process.

STEP 2: Preparation of MOA and AOA and filing with SECP/CRO

Memorandum of Association (MOA) and Article of Association are mandatory statutory documents required to be filed with the SECP/Concerned CRO. MOA contains five crucial sections, including; the name of the Company, province of registered office, main objects/principal line of business, authorized capital, and distribution of paid-up capital of the Company. AOA is an internal constitution of any Company, which sets procedures for meetings and proceedings, the election of directors, transfer of shares and other statutory matters under the applicable laws.

STEP 3: Filing of other mandatory forms and payment of a statutory fee

A statutory fee is required to be submitted according to the Authorized Capital of the Company. Filing of required other documents includes Company Profile, Incorporation Form I, Incorporation Form II, Application for Company Incorporation, information about the promotors/directors and CEO and CFO of the Company.

STEP 4: Obtaining a Certificate of Incorporation

Once all the documents are filed, and the concerned registrar is satisfied with the submission, CRO/SECP issues a certificate of incorporation (COI) and acknowledgment of filing. COI stands as the birth proof of a separate legal entity.
